  MOTOR STATE STREET RODS. INC.

 

  BY-LAWS

 

ARTICLE I - Introduction

 

In accordance with the laws of the United States of America and the State of Michigan, be

it known that a non-profit social service organization hereinafter called the Motor State

Street Rods, Inc., otherwise known as M.S.S.R., is to be duly authorized and operated.

 

ARTICLE II - Objectives

 

This organization shall hold as its objectives and goals the following:

 

A.   To promote safety and safe driving habits, and at all times to present a good

        impression to the general public.

B.   To maintain and preserve the original street rod image by participating in outings and

       activities involving street rods and people of common interest.

C.   To serve the community by annual service projects.

D.   To keep members informed of traffic regulations and legislation concerning our

        vehicles.

E.   To recommend that members street rods meet National Street Rod Association safety

      standards.

F.   To assist members in buying parts and services for the best price and to help build

       their cars by trading parts, services, and ideas through a periodic newsletter.

 

ARTICLE III Membership

 

A.    There shall be four types of membership in M.S.S.R..

 

·          Active Membership:  Given to any member that has gone through the

        probationary period, been accepted by the Board and has continued to meet

        their membership obligations.

 

·         Inactive Membership:  This is obtained when an Active Member requests

        that their membership status be revised to inactive. The board will determine,

        at its discretion,  if the membership should be revised. An Inactive Member

        will continue to pay dues and receive a newsletter, but will not be entitled to

       voting privileges or free club activities. They may attend club activities if they

       cover the cost of  attendance.

 

·         Probationary Membership: Given to a potential member during a six-month

       probationary period. During this period, the member is required to attend

       one-half of the meetings available, or as deemed necessary by the board. At

       the end of this period, the Board will determine if active membership should

       be bestowed upon the applicant. Their decision will be announced at the

       next membership meeting.

 

·     Honorary Membership: A person or persons who the Board of Directors

      feel has given outstanding service and assistance for the benefit of M.S.S.R.

      as a whole 

 

B. Each member shall be encouraged to join the National Street Rod Association.

C. Each new applicant must be sponsored by an Active Member and shall own or be

     interested in obtaining, building, and maintaining a car 30 years or older , have a

     valid drivers license, and attained the age of eighteen.

      D. Members shall attend a minimum of one-half of the meetings each year or provide

            notice to the Board of  Directors as to why they could not.

     E. Members shall be expected to volunteer to work at least one M.S.S.R. event per

            year, or  may be asked to.

     F. Members who the Board of Directors feel do not live up to the standards set forth

            in these by-laws shall be subject to appropriate disciplinary action such as

            reinstatement of probationary period.

      G. Members who leave the club for any reason will be expected to remove the club

           decal from their car. If a current member sells his car, he should also remove the

          decal.

 

ARTICLE IV - Management

 

The Directors and Officers of the Motor State Street Rods, as elected by the members,

shall have full control and management of all the club's affairs and shall carry out and

enforce all the objectives and purposes for which it was organized.

 

Directors

 

"

       Prospective directors must have been a member in good standing for at least 6

       months before becoming eligible to be nominated.

           

       Qualifications of prospects must be known to all board members and all board

       members must vote.

 

       Any Director who misses three meetings in one year without just cause shall be

       subject to removal from office. "Just Cause" shall be determined by the rest of the

       Board of Directors.

 

       Each Director (including Officers) shall stand for re-election to the Board every four (4)

       years

 

Officers

 

       Shall be President, Vice-President, and Treasurer.

 

       To be eligible to hold office, a candidate must be a Director in good standing for one year.

 

       Officers shall hold their respective office for the term of two years. 

 

 

Duties of the President

 

       Preside at all meetings of the membership and the Board of Directors.

 

       Call meetings to order at the appointed time.

 

       Announce business before the assembly in its proper order.

 

       Be responsible for appointment of committees with the approval of the Board.

 

       Have custody or a record of the club banner and awards.

 

       Arrange to have the Treasurer set up an account in a recognized banking institution in

       the name of the organization and update with the names of current Officers who may

       authorize withdrawals.

 

       Shall personally verify the Organization's bank balance monthly. "Verify" means the

       President will not only determine the amount of money on deposit, but will do some

       calculations to ascertain how much should be on deposit. If the balance is found to be

       incorrect, the President must immediately report this to the Officers and Board

       members.

 

       Retain a duplicate monthly financial statement from the treasurer.

 

       Submit the annual incorporation statement to the State of Michigan or appoint someone

       to do so.

 

       Maintain a master file on club functions as submitted by the event chairpersons.

 

Duties of the Vice-President

 

       Assist the President in the execution of his office.

 

       Perform duties of the President in his absence.

 

       Keep records of all proceedings and be required to read the minutes when called upon.

 

       Record all resolutions and motions that are adopted.

 

       Maintain records, record and publicize all events and notify magazines of election
